Terms of Service
Effective date: October 7, 2026
Legal entity: Stackzen Technology Group. Governing law: Indiana, USA. The Service is currently offered only to Organizations located in the United States (see Section 14).
1. Agreement to These Terms
These Terms of Service ("Terms") form a binding agreement between Stackzen Technology Group ("Lampkey," "we," "us," or "our") and the person or organization that creates an account or otherwise uses the Lampkey.ai website or application (the "Service"). By creating an account, completing checkout, or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent ("you" or your "Organization"). If you do not agree to these Terms, do not use the Service.
2. About the Service
Lampkey.ai is an AI-assisted project management platform. It ingests project documents (statements of work, project plans, budgets, schedules, timesheets, risk logs), extracts and reconciles structured data into a project record, and provides AI-generated analysis, recommendations, and reporting. The Service is a decision-support tool. Outputs require human review and are not a substitute for your own professional judgment. You are responsible for verifying extracted or generated information against its source document before relying on it.
3. Accounts and Organizations
To use most of the Service you must create an account. You agree to provide accurate registration information and keep your login credentials confidential; you are responsible for all account activity. An account is created within an Organization. The Organization's administrator(s) control invitations, roles/permissions, and removal; you are responsible for ensuring everyone you invite is authorized. Organizations are logically isolated from one another.
4. Your Content
"Your Content" means documents, data, and information you or your Organization upload to or generate within the Service. You and your Organization retain all rights to Your Content. You grant Lampkey a limited right to host, process, transmit, and display Your Content to provide and improve the Service (including sending relevant portions to AI service providers as described in our Privacy Policy). You and your Organization are solely responsible for Your Content, including having the right to upload it.
5. Acceptable Use
You agree not to: use the Service unlawfully or upload content you lack rights to; gain unauthorized access to another Organization's data or the Service's infrastructure; interfere with or disrupt the Service, including by introducing malware or bypassing access controls; reverse-engineer the Service except as law permits; use automated means outside documented interfaces; or resell/provide the Service to outside third parties without our written consent. We may suspend or terminate access for violations, with notice where practicable.
6. AI-Generated Output; No Professional Advice
The Service uses third-party AI models to extract data and generate analysis, recommendations, and chat responses. AI-generated output can be incomplete, outdated, or incorrect, is provided for informational purposes, and is not financial, legal, accounting, or other professional advice. You are responsible for reviewing AI-generated output before relying on it, particularly for budget, schedule, contractual, or personnel decisions.
7. Plans, Billing, and Payment
Plans and Pricing: subscription plans are displayed at checkout (currently Starter and Team, each with a monthly price and included project/seat limits; extra seats billed per seat per month); we may change plans/pricing, with price changes taking effect at your next renewal. Payment Processing: payments are processed by Stripe, Inc. via Stripe Checkout; we do not collect or store your full card number. Auto-Renewal: paid subscriptions renew automatically at the then-current price until cancelled; cancel anytime in Account Settings or by contacting us, effective at the end of the current billing period. Plan and Seat Changes: upgrades/added seats are billed immediately on a prorated basis (price difference times remaining-cycle fraction); downgrades/removed seats take effect at next renewal with no prorated refund. Non-Refundable: fees already paid are non-refundable except where law requires otherwise. Failed Payment: if renewal payment fails, full access continues during a grace period while we attempt collection and notify your administrator; if unresolved, we may restrict paid-usage actions while preserving read access, and may eventually suspend sign-in while keeping data export available; we will not delete data for nonpayment without separate advance notice; paying at any point restores full access. Taxes: fees are exclusive of applicable taxes, which Stripe Checkout may calculate and collect where required.
8. Intellectual Property
Lampkey and its licensors own all right, title, and interest in the Service, including its software, design, and name/logo, excluding Your Content. We grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription for your Organization's internal business purposes.
9. Confidentiality
Each party may receive the other's confidential information in connection with the Service. Each party will use it only to perform its obligations under these Terms and protect it with at least the same care it uses for its own confidential information, but no less than reasonable care.
10. Term and Termination
These Terms remain in effect while you have an account; you may stop using the Service and request deletion at any time. We may suspend/terminate access for material breach, including Acceptable Use violations or nonpayment under Section 7. On termination, access ends; Sections 8, 9, 11, 12, 13, and 14 survive.
11. Disclaimers
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE OR COMPLETE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAMPKEY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LAMPKEY'S TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOUR ORGANIZATION PAID TO LAMPKEY IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You will defend, indemnify, and hold Lampkey harmless from any third-party claim arising from Your Content, your breach of these Terms, or your violation of applicable law, including reasonable attorneys' fees.
14. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Indiana, USA, without regard to conflict-of-laws principles. Both parties consent to the exclusive jurisdiction and venue of state and federal courts in Indiana for any dispute, except either party may seek injunctive relief anywhere to protect its IP or confidential information. The Service is currently offered only to Organizations located in the United States.
15. Changes to These Terms
We may update these Terms from time to time; for material changes we will provide notice (in-Service posting or email) before the change takes effect. Continued use after a change takes effect constitutes acceptance.
16. Miscellaneous
These Terms, with our Privacy Policy, are the entire agreement between you and Lampkey and supersede prior agreements on this subject. If a provision is found unenforceable, the rest remains in effect. You may not assign these Terms without our written consent; we may assign them in a merger, acquisition, or asset sale. Failure to enforce a provision is not a waiver.
